Russische ADR´s umwandeln in Orginal Aktien.

Ich hab jetzt, nach erster E-Mail Bestätigung und zweiter telef. Bestätigung, eine schriftliche Bestätigung mit Unters. und Stempel für die Einbuchung der Aktien aus der Ende August angewiesenen Konvertierung. Wie bereits geschrieben war keine Empfangserklärung notwendig bei der GPB. Die Gazprom ADR wurden ohne Abzüge oder Quota vor etwa einer Woche in Aktien umgetauscht. Gesamtdauer ca. 10 Kalendertage.

Den Umtausch hat die depotführende Bank (nicht Comdirect) für eine Pauschalgebühr von 125 € organisiert. Dazu hatte ich am 23.8.2024 eine Info bekommen mit Frist 5.9.2024 11 Uhr. Vorher (5/2022) hatte ich allerdings das Typ-C Konto bei der GPB eröffnet und 9/2023 die Genehmigung der Behörde in Deutschland beantragt.

Den letzten Nachweis für den erfolgreichen Umtausch hat mein Agent vor Ort besorgt. Der Nachweis ist aber nicht notwendig. Ich wollte wissen, ob es eine Quote gibt, mit der die Bank "pro-Rata-Faktor" drohte. Die Zwischeninfo davor hatte ich per Email dort angefordert, wo ich auch das Depot eröffnet hatte. Die Antwort der GPB dauerte ein paar Tage. Die Emailadresse steht auch hier im Kanal nur 1-2 Jahre zurückblättern. Da steht auch, wie man die russ. Seiten aufrufen kann, falls sie blockiert werden usw.

• Hallo zusammen, ich möchte gerne wissen, ob es noch bei jemanden der Umtausch von Gazprom geklappt hat? Wie lange habt ihr gewartet? Wir haben noch nichts bekommen (10 Tage sind vergangen). Danke!

Kann jemand berichten, welche Unterlagen er im Detail eingereicht hat, um erfolgreich die Nachzahlung der Dividende für umgewandelte Lukoil-ADR und/oder Gazprom-ADR einzufordern?

In einem Dokument, welches mir Lukoil heute per Email zugesendet hat, heißt es, es seien u. a. folgende Unterlagen einzureichen:

1. Documents in support of eligibility for dividends (originals or broker-certified or notarized copies thereof):

- statement of securities account transactions between April 27, 2022 and the date of conversion, containing the details of ADR cancellation for the purpose of conversion thereof into the Company’s shares. In the event of a change in the venue where ADRs are recorded/kept, during such time one shall provide statements from each broker/depository for respective time frames;

- statement of securities account transactions evidencing possession of ADRs as of December 21, 2022 (i.e., the date as of which persons eligible thereto were determined (established) as per the resolution to distribute (declare) dividends);

- statement of securities account transactions containing the details of crediting of the Company’s shares as a result of ADRs conversion;

- statement of securities account transactions on the date immediately following conversion of ADRs into shares confirming possession of LUKOIL shares;

Mir ist nicht ganz klar, was der Unterschied zwischen den folgenden beiden Dokumenten ist:

- statement of securities account transactions containing the details of crediting of the Company’s shares as a result of ADRs conversion;

- statement of securities account transactions on the date immediately following conversion of ADRs into shares confirming possession of LUKOIL shares

Ist mit dem ersten ein Dokument zur Einbuchung der Aktien und mit dem zweiten ein Depotauszug gemeint?

Weiterhin heißt es in dem Lukoil-Dokument:

1. Taxation documents of the foreign shareholder individual.

3.1.  A foreign shareholder individual seeking to obtain preferential tax treatment of dividends that is a resident of a country not listed in Decree No.585 of the Russian President of August 8, 2023, who, under the Russian Tax Code, Article 232, is obliged to provide an original or notarized copy of the document issued by a competent authority in a country outside of Russia in support of his/her status of a foreign shareholder individual that is a tax resident of a country that has made a respective treaty with the Russian Federation.

Such document shall be dated the year, in which the dividend distribution takes place as per Dividend Claim being made, and have the following wording or a similar wording that has the closest possible meaning of: “This is to confirm that _____ (specify name of the shareholder) has for ___ (specify period of time) been a person with permanent registration in ____ (specify state) for the purposes of the Treaty ____ (specify international treaty) between the Russian Federation/USSR and ____ (specify foreign state)”;

Wo erhält man eine entsprechende Bescheinigung? Beim zuständigen Finanzamt oder beim jeweiligen Landesministerium für Finanzen?

@Swet1Ja mein Bericht bezog sich auf die Konvertierung von Gazprom ADR in Aktien. Die Abwicklung hat die depotführende Bank in Deutschland übernommen. Ich hatte nur dieser Bank einen Auftrag erteilt. Mehr war nicht notwendig. Welche Formulare die Bank verwendet hat, ist mir unbekannt.

Es gab auch keine Nachricht, ob die Prozedur erfolgreich abgeschlossen wurde. Deshalb habe ich bei der GPB per E-Mail nachgefragt.
