Curevac wird von Biontech übernommen: Ich möchte das öffentliche Aktien-Umtauschangebot von Biontech zur Übernahme von Curevac annehmen. Wie erteile ich den Auftrag die Umwandlung meiner Curevac-Aktien in Biontech-ADRs durchzuführen. Dies geschieht so lass ich es in der Presse durch die Abgabe eines Wertpapierauftrags, der die Umtauschaktion zum Gegenwert von rund $5,46 USD pro Curevac-Aktie einleitet. Was muss ich tun? Du wirst von der Bank in absehbarer Zeit eine entsprechende Nachricht zu dieser Kapitalmassnahme erhalten.

Es ist ausreichend Zeit; die HV von Curevac ist Ende November, das Angebot von Biontech läuft zunächst bis Anfang Dezember.

Im persönlich Bereich vom des Online Bankings kann ich nun eine Weisung ausueben mit dem Umtausch von CureVac N.V. Namensaktien o.N. in CureVac N.V. Namensaktien o.N. mit einem Umtauschverhältniss von 1 Stück : 0,010 Stück; ich kann also 100  CureVac N.V. Namensaktien o.N in 1  CureVac N.V. Namensaktien o.N umtauschen!?! Was soll das denn bedeuten, oder ist das ein Fehler der Plattform?

On October 21, 2025, BioNTech SE, a European stock corporation (Societas Europaea, or SE) organized under the laws of Germany and the European Union (“BioNTech”), commenced an exchange offer (the “Exchange Offer”) to acquire all of the outstanding ordinary shares, par value €0.12 per share (“CureVac Shares”), of CureVac N.V., a public limited liability company (naamloze vennootschap) incorporated under the laws of the Netherlands (“CureVac”). bin am überlegen, ob statt Angebot annehmen, regulärer Verkauf und stattdessen steuerliche Verlustabschreibung und Verrechnung mit den Gewinnen. Habe die Aktien bei ca. 90€ gekauft.

Oder weiß jemand, ob ich die Verlustabschreibung bei dem Aktienumtausch C > B trotzdem nutzen kann.

Den Verlust wirst du immer anrechnen können, spätestens bei der Steuererklärung.

Die Frage ist halt wie das abgewickelt wird. Man könnte die Aktien als wertlos einziehen, oder eben einen fiktiven Verkauf machen.

Ich würde einfach vorher verkaufen. Dann hat man klare Verhältnisse.

Stehe vor der Selben Frage, will die Verluste aber eigentlich nicht realisieren, da ich dann für 2025 negativ bin und mit der Sparerpauschbetrag verloren geht, sollte das steuerlich wirksam werden. SInd zwar "nur" gut 400 EUR die ich so nicht an Steuererstattung erhalte aber eigentlich habe ich schon genug gezahlt durch meien Verluste...

Geht mir tatsächlich etwas gegen den Strich...

verkaufe und kaufe mit dem Geld so 30:30:30 sowas wie Google, Samsung, Western Digital, Amphenol, Celestica, Nvidia, solche Flyer halt. Die verkaufst du im Dezember und machst den Verlusttopf kleiner und auch noch in den Freibetrag rein, denke ich. Aber ich kenne mich steuerlich auch nicht genug aus.

Mit dem was die Curevac Aktien noch an Wert haben, lohnt sich kein Aktienkauf und die Hoffnung auf einen signifikanten Aktiengewinn. Ich wollte den Verlust bei Verkauf der Curevac Aktien mit den den Divididentenausschüttungen meiner zum Teil nicht thesaurierenden ETFs oder Gewinnen aus andern Kapitalgewinnen steuerlich „verrechnen“. Das geht aber nur mit Gewinnen aus Aktienverkäufen. Das habe ich aber nicht vor.

Rechenbeispiel: du realisierts 600€ Verlust aus dem Verkauf und möchtest 400€ Freibetrag ausnutzen. Also verkaufst du für 1000€ Gewinn Aktien. Und kaufst die nach 15 Minuten zurück.
